CENCORP CORPORATION STOCK EXCHANGE ANNOUNCEMENT 06.02.2007 NOTICE PURSUANT TO THE SECURITIES MARKETS ACT, CHAPTER 2, SECTION 10 CONCERNING AGREEMENT WHICH MAY LEAD TO CHANGE OF OWNERSHIP Cencorp Corporation and Sampo Pankki Oyj have agreed on financing arrangement, part of which Cencorp Corporation gives to Sampo Pankki Oyj 1,801,400 stock options 2007A. Stock options entitle Sampo Pankki Oyj to subscribe 1,801,400 shares of Cencorp Corporation. Before 2007A stock options Sampo Pankki Oyj owns 19,97 percent of share amount and voting rights of Cencorp Corporation registered in Trade Register which consist of 3,000,000 shares of Cencorp Corporation and 3,841,440 convertible capital notes 2006, which entitle Sampo Pankki Oyj to subscribe 3,841,440 shares of Cencorp Corporation. Based on the 2007A option subscription and convertible capital notes subscription, on the presumption that Sampo Pankki Oyj subscribes shares according to terms of convertible capital notes and stock options, the ownership of Sampo Pankki Oyj will increase from 19,97% to approx. 25,2% of the share amount and voting rights of Cencorp Corporation registered in Trade Register. According to the interpretation of the Finnish Financial Supervision of the disclosure of major holdings in the Securities Markets Act when assessing a disclosure obligation due to stock options, the proportion of holdings must always be calculated in relation to the share capital entered in the trade register. The effects on the share capital and voting rights of any later subscriptions shall not be taken into account. Due to the above mentioned interpretation the ownership percentage is not accurate.
