Statement from the Independent Committee of the Board of Directors of Securitas Direct

The Independent Committee has concluded that the following
information may be of importance to shareholders and warrant holders
in Securitas Direct when evaluating the offer from ESML Intressenter
AB ("ESML Intressenter").

As announced in the press release from ESML Intressenter on February
5, 2008, SäkI AB ("SäkI"), Melker Schörling AB ("MSAB") and
Investment AB Latour ("Latour"), together representing 15.4 per cent
of the share capital and 40.5 per cent of the votes in Securitas
Direct, will no longer be part of the offer to Securitas Direct's
shareholders and warrant holders.

The Independent Committee has received a joint letter from SäkI, MSAB
and Latour stating that they ".will not support a change of the
capital structure of Securitas Direct in case the offer from ESML
Intressenter should be withdrawn and Securitas Direct continues as a
publicly listed company".

Furthermore, in response to questions received from several
shareholders, the Independent Committee wishes to state that it has,
together with its advisors, solicited other potential buyers for
Securitas Direct. So far, none has come forward with a serious
interest in making a higher offer.
