Opcon waives condition of 30 per cent acceptance rate

Opcon's Board of Directors have decided to waive the condition of an acceptance
rate of at least 30 per cent in its offer to Tricorona's shareholders. Opcon
will therefore implement the offer to all shareholders who subscribe to it. The
offer ends at 5 p.m. on 13 April, at which time application forms must be
received by Remium AB.

“We have always seen great opportunities in a merger of Opcon and Tricorona,
where together we could build new business that creates large value for
shareholders. Instead of sitting down with us for a serious discussion of what
we can create together going forward, the largest owner of Tricorona has instead
rejected the whole idea from the beginning. This happened in spite of the
excellent co-operation at operational level between the two companies, where
everyone is in agreement that the business model presented by Opcon is of great
interest and would create added value in future. We still want to give this a
chance, despite the level of acceptance. I also think that when the dust has
settled in this tussle over the offer and we can sit down at the table as an
owner of Tricorona to discuss the future, more people will recognize the
significant potential in closer co-operation. Things might not then happen at
the rate we had originally thought. In the light of the information we have
today we have not however seen any reason to raise our bid,” says Mats
