Reference is made to the stock exchange notice by PSI Group ASA ("PSI" or the "Company") on 1 June 2011 regarding a contemplated private placement (the "Private Placement") of new shares directed towards existing shareholders, Norwegian investors and international investors. The Company has today successfully completed a placement of 24,242,424 new shares in the Private Placement at the price of NOK 3.30 per new share, raising gross proceed of approximately NOK 80 million. The new shares to be issued in the Private Placement represent approximately 109.3 % of the current share capital of the Company.

Completion of the Private Placement, and hence the delivery and trading of the new shares, is conditional upon (i) approval of the share capital increases required for implementation of the Private Placement and the Subsequent Offering (as defined below) by the extraordinary general meeting (the "EGM") in the Company, expected to take place on or around 27 June 2011, (ii) that a prospectus for the listing of the new shares have been approved by the Financial Supervisory Authority of Norway and made public and (iii) that the sale of SQS Security Qube System AB to CKC is not completed prior to completion of the Private Placement. Subject to fulfilment of the foregoing conditions, the share capital increase in the Private Placement is expected to be registered in the Norwegian Register of Business Enterprises on or about 1 July 2011, immediately following which the new shares will be delivered and become tradable. Following this, the Company's share capital will be NOK 28,786,875, divided into 46,430,444 shares, with a par value of NOK 0.62 each.

As earlier announced, the board of PSI also intends to propose to the EGM a subsequent offering (the "Subsequent Offering"), where existing shareholders will be offered to maintain their pro rata ownership at the same price as in the Private Placement, i.e. NOK 3.3 per new share, directed towards PSI shareholders as of 1 June 2011 (as recorded in the VPS on 7 June 2011 or in the VPC on 8 June 2011) who were not invited to participate in the Private Placement. The shares in PSI will trade excluding the right to participate in the Subsequent Offering from 3 June 2011.

A notice of the EGM with amongst others the proposals for the resolutions necessary to implement the Private Placement and the Subsequent Offering will shortly be sent to the Company's shareholders.
