Second City Issues Dissident Proxy Circular to Replace Board of Bennett Environmental Inc.


VANCOUVER, BRITISH COLUMBIA--(Marketwire - June 6, 2011) - Bennett Environmental Inc.'s largest shareholder, Second City Capital Partners I, Limited Partnership ("Second City"), today announced that it has mailed its dissident proxy circular to replace Bennett's board of directors.

The proxy circular and related information can also be viewed and downloaded from www.savebennett.com. The election will take place at Bennett's annual general and special meeting, scheduled for June 29, 2011. Second City urges all shareholders to vote only the BLUE proxy FOR Second City's nominees.

"There are serious issues that should be of grave and immediate concern to all of us as Bennett shareholders," said Sam Belzberg, Chairman and President of Second City General Partner Inc., the general partner of Second City. "Beyond failing in its mandate to complete a value-enhancing transaction, the current Board and Management appear of late to be more concerned with serving their own interests, rather than yours. They have wasted time and money pursuing ill-advised acquisitions and self-serving schemes."

Bennett's second largest shareholder has indicated an intent to vote for Second City's nominees

Second City, which owns approximately 23.2% of Bennett's outstanding shares, also disclosed that I.A. Michael Investment Counsel Ltd. ("I.A. Michael"), as manager of investment funds which in aggregate hold approximately 18.2% of Bennett's outstanding shares, is Bennett's second largest shareholder and has indicated its intention to vote for Second City's nominees. If elected, Second City's nominees intend to appoint Lawrence Haber as Chairman of the Board. Mr. Haber is known by both Second City and I.A. Michael and is also independent of Second City.

Second City has lost confidence in Bennett's Directors

In its circular and an accompanying letter to Bennett shareholders, Second City has set out the factors that caused it to lose confidence in Bennett's Directors, other than Jamie Farrar, a Managing Director of Second City Capital Corporation and Second City's sole nominee currently on the board. Second City urges shareholders to read the dissident materials and vote the BLUE proxy for Second City's nominees.
