The meeting of  the holders of the Securities (the 'Holders') on 20 June
2011 took, inter alia, resolutions on the following matters:

  - Resolution on the application of the German Act on Debt Securities
    (Gesetz über Schuldverschreibungen aus Gesamtemissionen) dated 31 July
    2009

  - Resolution to exchange the Securities into an Exchange Right relating
    to shares in Pfleiderer AG

  - Appointment of a joint representative of the Holders
