WIGE MEDIA AG resolves capital increase
- Capital increase of up to EUR 1,158,671 planned - from EUR 4,634,684 to
up to EUR 5,793,355
- Subscription ratio for existing shareholders of 4:1
- Funds to be used to finance further growth and strengthen the capital
base
Cologne, 27 July 2011: The Executive Board of WIGE MEDIA AG (ISIN:
DE000A1EMG56) resolved today, with the approval of the Supervisory Board,
to increase the company's share capital by up to EUR 1,158,671 from EUR
4,634,684 to up to EUR 5,793,355 through the partial utilisation of the
existing Authorised Capital 2010 in exchange for cash contributions by
issuing up to 1,158,671 new, no-par value bearer shares with a
proportionate amount of the share capital of EUR 1.00 per share.
The new shares will be offered exclusively to existing shareholders of WIGE
MEDIA AG by way of an indirect subscription right in a ratio of 4:1 and
will be entitled to dividends from 1 January 2010. Shareholders are
entitled to subscribe to one new share for every four old shares. The
subscription period will last two weeks, beginning on 1 August 2011 and
ending on 15 August 2011. There will be no trading of subscription rights.
Unsubscribed shares can be subscribed to only by existing shareholders by
way of oversubscription. The transaction is supported by Close Brothers
Seydler Bank AG, Frankfurt am Main.
The funds from the capital increase are to be used to finance further
organic and acquisition-based growth and to strengthen the capital base.
Further details of the transaction, particularly the subscription price,
will be announced shortly.
