On 9 September 2011, Roger Hofseth AS sold 1,000,000 shares in Hofseth BioCare ASA (HBC) to Sinkaberg-Hansen AS (SBH) for NOK 7 per share. Roger Hofseth AS is 100% owned by HBC's board member, Roger Hofseth.
Today, Roger Hofseth AS and SBH have today agreed that Roger Hofseth AS transfers (off-exchange) additional 300,000 shares in HBC to SBH as an adjustment of the 9 September 2011 transaction, resulting in an average price of NOK 5.38 per share for the 1,300,000 shares in HBC sold from Roger Hofseth AS to SBH.
Following this adjustment Roger Hofseth directly and indirectly (through Roger Hofseth AS) holds 17,199,606 shares in HBC, equalling 30.09% of total shares outstanding in HBC.
