Nomination Committee’s proposal regarding Board of Directors, etc.


The Nomination Committee of MQ Holding AB proposes that the Annual General
Meeting (AGM) re-elect Erik Olsson, also proposed to be re-elected as Chairman
of the Board of Directors, Göran Barsby and Bengt Jaller. Thomas Nyberg, Eva
Redhe Ridderstad and Christina Ståhl have declined re-election. The Nomination
Committee proposes that Arthur Engel, Annika Rost, Mernosh Saatchi and Michael
Olsson be elected new Members of the Board.

Arthur Engel worked at the Leo Burnett Group between 1994 and 2000 and has many
years of experience in brand development and the retail sector. He was initially
employed as Account Manager and, by the time he left the company in 2000, he had
become the President. Between 2001 and 2007, Arthur Engel served as President of
GANT and was involved in listing the company on the stock exchange in 2006. He
worked as President of Björn Borg from 2008 to 2013. Arthur Engel also has Board
positions in Caliroots, Marimekko OY and Reliance Brand Ltd and is a member of
the Advisory Board of the Stockholm University School of Business. He was born
in 1967.

Annika Rost has been the President of Efva Attling Stockholm AB since 2012. She
has extensive experience of retailing. Annika Rost has previously served as
President of Rehband Anatomiska AB, Pocketgrossisten, Svensk Tenn and Bergendahl
Fashion AB. She has also held senior positions at Unilever Sverige AB, Scholl AB
and Kooperativa Detaljhandels AB. She was born in 1957.

Mernosh Saatchi has broad experience and expertise in the field of
communications, primarily regarding new technology. In 2002, she joined the
advertising agency Humblestorm, where she is now President and owner. Mernosh
Saatchi was also appointed a member of the Commission on the Future of Sweden by
the Swedish government. She was named Entrepreneur of the Year by Veckans
Affärer in 2009. She was born in 1979.

Michael Olsson worked at the Electrolux Group between 1990 and 2000, where his
positions included Senior Vice President of Electrolux Home Products Europe,
President of Electrolux Group Ireland and President of Electrolux Scandinavia.
Michael subsequently founded and operated the IT company Tradimus until this
company was sold to Nordic Capital in 2006. He currently works as an investor
via the Ad Lib Advisor and ITUM Invest AB family-owned companies, and has Board
positions in Technology Nexus, Funäsdalen Berg & Hotell, KGH Customs,
Ernströmsgruppen, Ekman & Co, Statpoint and Global Utmaning. Michael Olsson was
born in 1963.

It is proposed that the remuneration of the Members of the Board be SEK
1,600,000, of which the Chairman of the Board will receive SEK 400,000 and each
of the other Board Members will receive SEK 200,000. It is also proposed that
remuneration for work on committees be SEK 15,000 for each day of meeting. The
proposal entails that the total Board fees will increase by SEK 200,000 compared
with the preceding year because the Board has been expanded by one member. The
Nomination Committee also proposes the re-election of KPMG AB as auditor of the
company until the 2018 AGM. Auditors’ fees are proposed to be paid on current
account.

The Nomination Committee proposes that the AGM resolve to appoint a new
Nomination Committee in preparation for the 2015 AGM in the same manner as for
the 2014 AGM. Accordingly, the Chairman of the Board will contact the three
largest registered or otherwise known shareholders as at 1 April 2014 and invite
them to each appoint one member of the Nomination Committee. If any shareholder
waives his/her right to appoint a member, the largest registered or otherwise
known shareholder that has not yet appointed a member of the Nomination
Committee is to be asked, and so on. The Nomination Committee is to consist of
these three members together with the Chairman of the Board. The names of the
members of the Nomination Committee and information about the Chairman of the
Nomination Committee will be announced no later than six months prior to the
2015 AGM. The Nomination Committee is to appoint a Chairman from among its
members.

The Nomination Committee of MQ Holding AB consists of Henrik Strömbom (Chairman
of the Nomination Committee), representing Jaller Klädcenter AB, André Vatsgar,
representing Danske Capital, Marcus Wahlberg, representing Investment AB Öresund
and Erik Olsson, Chairman of the Board.
