DiaMedica Inc. Announces Public Offering

MINNEAPOLIS, MINNESOTA--(Marketwired - Oct. 22, 2014) -

NOT FOR DISTRIBUTION TO UNITED STATES NEWSWIRE SERVICES OR FOR DISSEMINATION IN THE UNITED STATES

DiaMedica Inc. ("DiaMedica") (TSX VENTURE:DMA) announced today that it has filed a preliminary short form prospectus (the "Prospectus") in connection with a public offering (the "Offering") of units of DiaMedica (the "Units"). Each Unit shall consist of one common share ("Common Share") of DiaMedica and a common share purchase warrant component ("Warrant"). The Offering will be conducted on a commercially reasonable best efforts agency basis pursuant to an agency agreement to be entered into between DiaMedica and Mackie Research Capital Corporation ("MRCC") as lead agent and sole book-runner of the Offering, with a syndicate including Jordan Capital Markets Inc. (together with MRCC, the "Agents").

The Prospectus contemplates a minimum offering size of $3 million up to a maximum of $6 million. The price of the Common Shares, the exercise price of the Warrants, the term of the Warrants and the Warrant component size, will be determined by DiaMedica and the Agents in the context of the market.

The Company has granted the Agent an over-allotment option to arrange for the purchase of up to an additional 15% of the maximum offering as more particularly described in the Prospectus. The Company has agreed to pay the Agents a cash commission equal to 7.5% of gross proceeds of the Offering and non-transferable options to acquire that number of Common Shares equal to 7.5% of the aggregate number of Units sold pursuant to the Offering, including any Units sold pursuant to the exercise of the over-allotment option.

DiaMedica intends to use the net proceeds from the Offering principally to satisfy all remaining contractual obligations of the Phase II study of DM199 in patients with type 2 diabetes and for general and administrative purposes as described more fully in the Prospectus.

The offering is expected to close on or about November 11, 2014, or such other date or dates that DiaMedica and the Agents may agree upon. The Company has applied to the TSX Venture Exchange (the "Exchange") to list the Common Shares forming part of the Units distributed under the Prospectus, as well as all Common Shares issuable under all convertible securities issuable in connection with the Offering. Listing of the Common Shares is subject to the Company fulfilling all of the listing requirements of the Exchange.

This news release does not constitute an offer to sell or a solicitation of an offer to buy any of the securities in the United States. The securities have not been and will not be registered under the United States Securities Act of 1933, as amended (the "U.S. Securities Act") or any state securities laws and may not be offered or sold within the United States or to U.S. Persons unless registered under the U.S. Securities Act and applicable state securities laws or an exemption from such registration is available
