COWEN INC. ALERT: Bragar Eagel & Squire, P.C. Investigates Merger of COWN and Encourages Investors to Contact the Firm

New York, New York, UNITED STATES

NEW YORK, Aug. 03, 2022 (GLOBE NEWSWIRE) -- Bragar Eagel & Squire, P.C., a nationally recognized stockholder rights law firm, has launched an investigation into whether the officers or directors of Cowen Inc. (NASDAQ: COWN) (“Cowen”) breached their fiduciary duties or violated the federal securities laws in connection with the company’s acquisition by TD Bank Group (NYSE: TD) (“TD Bank”).

On August 2, 2022, Cowen announced that it had entered into an agreement to be acquired by TD Bank in an all-cash deal with an enterprise value of $1.3 billion. Pursuant to the merger agreement, Cowen stockholders will receive $39 in cash for each share of Cowen common stock they own. The deal is scheduled to close by the first quarter of 2023.

Bragar Eagel & Squire is concerned that Cowen’s board of directors oversaw an unfair process and ultimately agreed to an inadequate merger agreement. Accordingly, the firm is investigating all relevant aspects of the deal and is committed to securing the best result possible for Cowen’s stockholders.

If you own shares of Cowen and are concerned about the proposed merger, or you are interested in learning more about the investigation or your legal rights and remedies, please contact Melissa Fortunato by email at or telephone at (646) 860-9157, or by filling out this contact form.
