Executive corporate officer’s variable compensation

Variable compensation for the 2023 financial year

As Didier Michaud‑Daniel’s term of office as Chief Executive Officer is set to expire at the end of the Shareholders’ Meeting convened to approve the 2022 financial statements, the Board of Directors held on February 22, 2023, on the recommendation of the Nomination & Compensation Committee, adopted notably the compensation policy applicable to the Chief Executive Officer for the period running from January 1 to June 22, 2023.

In the framework of this policy, submitted to the Shareholders’ Meeting to be held on June 22, 2023 for approval, the Board of Directors decided that Didier Michaud-Daniel’s variable compensation as Chief Executive Officer for 2023 would be linked to a qualitative criterion based on the success of the transition and the appointment of the future Chief Executive Officer at the end of the Shareholders’ Meeting of June 22, 2023.

In accordance with this policy, the Board of Directors held on April 19, 2023 set the amount of the variable compensation payable to Didier Michaud-Daniel for 2023 at €450,000, subject to the effective appointment of the future Chief Executive Officer by the Board of Directors at the end of the above-mentioned Shareholders’ Meeting.

Pursuant to Article L.22-10-34 of the French Commercial Code, payment of this variable compensation will also be subject to the approval of the Annual Shareholders’ Meeting to be held on June 22, 2023.

The compensation policies for the 2023 financial year are presented in chapter 3.7 of the 2022 Universal Registration Document available on the Company's website (www.bureauveritas.com).
