Share capital increase, Subscription rights issue

Reference is made to notice 8 November 1999 regarding exercise of options on Opticom ASA, and notice 19 January regarding capital increase because of exercise of 218,000 of these options. The company has received acknowledgment from Foretaksregisteret (Register of Business Enterprises) for the capital increase because of exercise of the remaining 750,000 options. The company's share capital is thus increased by NOK 112,500 from NOK 1,682,281.80 to NOK 1,794,781.80 by issue of 750,000 shares.

The total number of shares issued in the company after this increase is 11,965,212.

At the same time the issue of a total of 851,000 subscription rights was recorded. This is in accordance with the company's incentive program. Each subscription right gives the right to subscribe to one share at the price NOK 339.60. The subscription rights is valid until 29 November 2004, but may at the earliest be exercised for 1/3 of the subscription rights at 29 November 2000, another 1/3 at 29 November 2001, while the remaining 1/3 may be exercised at 29 November 2002.
