The following persons were elected to the Nokia Board of Directors: Paul Collins, Georg Ehrnrooth, Bengt Holmström, Jouko K. Leskinen, Jorma Ollila, Robert van Oordt, Vesa Vainio and Iiro Viinanen.
The AGM resolved to split the nominal value of the share into four and to amend it to 6 cents according to the proposal by the Board of Directors. Public trading in Nokia shares with the new nominal value will commerce on April 10, 2000.
The AGM also approved the Board's proposal to amend the Articles of Association so that the Company has only one ordinary auditor, which is an audit firm approved by the Finnish Central Chamber of Commerce. No deputy auditor will be elected to the Company any more. The AGM also resolved to amend the Articles of Association, so that the term of the auditor is the fiscal year. The AGM elected PricewaterhouseCoopers Oy as Nokia's auditor.
The AGM approved the proposal by the Board of Directors to renew the authorizations of the Board to issue new shares, to repurchase Nokia shares and to dispose Nokia shares. The Board was authorized to increase the share capital by a maximum of EUR 28.8 million by issuing a maximum of 480 million new shares each with a nominal value of 6 cents. The authorizations to repurchase and to dispose Nokia shares concern a maximum of 224 million shares each with a nominal value of 6 cents. Authorizations are effective until March 22, 2001 at the latest.
