Ordinary Annual General Meeting Wednesday 2 May 2001


Please be informed that the Directors' report given by the Chairman at the Annual General Meeting was noted.
 
The report contained the information which was already sent to the Copenhagen Stock Exchange in release no. 2 dated 22 March 2001 and the printed Annual Report for 2000.
 
Director Mogens Petersen was up for election and was re-elected.
 
Attorney-at-law Peter-Ulrik Plesner was up for election and was re-elected.
 
Kaj Fauerskov Sørensen was up for election as deputy director and was re-elected.
 
The auditing company KPMG C. Jespersen and Statsautoriseret Revisionsaktieselskab Grothen & Perregaard were re-elected.
 
The Board of Directors was authorised, in the period up to 2 November 2002, within the scope of totally 10% of the Group's share capital to let the Group acquire own shares at the market price valid at the acquisition time with a deviation of up to 10%.
 
As mentioned in our Stock Exchange release no. 4 Vagn Genter resigned from the Executive Board at the Annual General Meeting, and the Executive Board of Brødrene Hartmann A/S now consists of President & CEO Asger Domino, Executive Director Per V. Frederiksen and
Executive Director Steen Ulrik Madsen.
 
Michael Hedegaard Lyng (31 years) has been employed as CFO responsible for Finance and IT. Michael Hedegaard Lyng who will start with Hartmann at the latest on 1 July 2001 is MSc (Business Administration and Auditing) and has been employed with the NIRO Group where during the last 3 years he has held a position as group chief accountant and manager of group controlling.
 
During a subsequent board meeting the Board of Directors elected its officers with Director Mogens Petersen as Chairman and Director John Gath as Vice-Chairman.
