Notice of Annual General Meeting for Klippan AB (with link)


KLIPPAN, Sweden, March 25, 2002 (PRIMEZONE) -- The shareholders in Klippan AB, organization No. 556360-1821, are invited to the annual general meeting to be held on Thursday, April 25, 2002 at 4 p.m. at Flustret, Storgatan 83, Lessebo.

Entitlement to participate

Shareholders who are both entered in the shareholder list held by VPC AB on Monday, April 15, 2002 and who have notified the company of their intention to participate in the meeting at the latest by 12 noon on Friday, April 19, 2002 are entitled to participate in the annual general meeting.

The notice should state name, personal or organization number, address, telephone number and registered shareholding. Notice of any proxy participant should be given at the same time.

Only owner-registered shareholdings are shown under the shareholder's name in the shareholder list. Nominee shareholders must temporarily re-register their shares in their own names with VPC by Monday, April 15, 2002 at the latest to enable them to participate in the annual general meeting. Such requests should be made in good time to the manager of the shares.


 PROPOSED AGENDA

 1.  Opening of the meeting
 2.  Election of chairman for the meeting
 3.  Drawing up and approval of voting list
 4.  Approval of the Board's proposed agenda
 5.  Election of one or two minute checkers
 6.  Consideration of whether proper notice of the annual general
     meeting has been given
 7.  President's speech
 8.  Presentation of the annual accounts and audit report as well
     as group accounts and group audit report
 9.  Decisions regarding:
   a) adoption of the income statement and balance sheet and the
      group income statement and group balance sheet
   b) appropriation of the company's profit or loss according to
      the adopted balance sheet

 Dividend

 Proposal: Dividend for 2001 of SEK 1 per share to be paid to 
 shareholders. The record day for the right to receive dividend is
 proposed as Tuesday, April 30, 2002. Payments via VPC are expected
 to be effected on Monday, May 6, 2002.

   c) discharge from liability for the Board of Directors and the
      President
 10.  Determination of the number of Board members and deputies

 Proposal: Board members to remain at eight in number. The number of
 deputies to remain at three.

 11.  Determination of fees for the Board and the auditors

 Proposal: Fees to the Board to be paid in a fixed amount of SEK
 880 000, to be divided by the Board between the Board members and
 the deputies elected by the annual general meeting. Members/deputies
 employed by the company shall not be paid a fee.

 Fees to auditors to be paid as per invoice.

 12. Election of Board

 Proposal: Re-election of the members Jan Bernander, Bertil
 Bernadotte, Ulf Ek, Bjorn Gillberg, Tommy Kullberg, Stefan Lersten,
 Lennart Laftman and Kjell Svensson. Re-election is also proposed for
 the deputies Gunnar Bergstrand, Alan Walker and Bengt Ostensson.

 13.  Election of nomination committee

 Proposal: Re-election of the members Jan Bernander (convener),
 Lars-Ake Helgesson and Goran Sundstrom.

 14.  Decision regarding authorization for the Board to acquire its
      own shares in the company

 Proposal: The Board's proposal entails mainly that the Board be
 authorized to make a decision to acquire, before the next annual
 general meeting, at most so many shares that the company's holding
 at any time does not exceed 10 percent of all the shares in the
 company. The acquisition shall be made via the OM Stockholm stock
 exchange. The aim of the repurchase is to give the Board increased
 scope for action in its work of creating value for the company's
 shareholders.

 15.  Decision regarding approval of the Board's proposal regarding
      a new issue with priority right for the shareholders to
      subscribe to shares 

 Proposal: The Board's proposal entails in short that the company's
 share capital shall increase by at most SEK 10,333,330 through the
 issue of at most 2,066,666 new shares, each with a nominal value of
 SEK 5. The new shares shall be issued at a price of SEK 20 per share
 and be subscribed to with priority for shareholders, whereby a
 holding of three existing shares gives entitlement to subscribe to 
 one new share. The Board to be authorized to make a decision 
 regarding the time limit for subscribing to shares and in 
 conjunction with this to determine a record day for determining
 which shareholders are entitled to subscribe to new shares.

The company has been informed that shareholders representing about 36% of all the votes in the company will be supporting the above proposals.

Tour of Lessebo Mill

In conjunction with the annual general meeting, a guided tour of Lessebo Mill will be given. The tours start at 1:30 pm and participants are asked to gather at the factory gate, Storgatan 79 in Lessebo. After the tour, light refreshments will be served at the Hand Paper Mill. Please notify your interest to participate in the tour when you give notice to attend the meeting.
