Norsk Hydro ASA has prepared an information memorandum in connection with the proposed demerger of Hydro, and the merger of the demerged petroleum activities with Statoil ASA. The document is a description of Hydro going forward ("Hydro after Demerger"), based on Hydro's Annual Report 2006. In addition, the memorandum contains combined income statements and balance sheets for Hydro ("Hydro after Demerger") and carve-out combined income statements and balance sheets for the demerged activities ("Hydro Petroleum").
In parallel, Statoil has prepared a prospectus and registration statement, currently a preliminary document ("Statoil's Preliminary Form F-4 Registration Statement") and subject to review by the U.S. Securities and Exchange Commission (SEC). The final version of Statoil's Form F-4 Registration Statement will be submitted to the shareholders of Statoil and Hydro at the latest together with the notice of the extraordinary general meetings. Hydro shareholders will also receive a final version of Hydro's information memorandum.
