SUMMARY NOTICE OF PENDENCY OF CLASS ACTION AND PROPOSED SETTLEMENT, MOTION FOR ATTORNEYS' FEES AND SETTLEMENT FAIRNESS HEARING

TO: ALL PERSONS AND ENTITIES WHO PURCHASED OR OTHERWISE ACQUIRED SECURITIES OF PRICELINE.COM, INC. BETWEEN JANUARY 27, 2000 THROUGH OCTOBER 4, 2000, INCLUSIVE.

YOU ARE HEREBY NOTIFIED, pursuant to Rule 23 of the Federal Rules of Civil Procedure and an Order of the Court, that the above-captioned action has been certified as a class action and that a Settlement valued at $80 million has been proposed. A hearing will be held before the Honorable Alfred V. Covello in the Abraham Ribicoff Federal Building, 450 Main Street, Hartford, Connecticut at 10:30 a.m., on July 2, 2007 to determine whether the proposed Settlement should be approved by the Court as fair, reasonable, and adequate, and to consider the application of Plaintiffs' Counsel for attorneys' fees and reimbursement of expenses.

If you are a Class Member, in order to share in the distribution of the Net Settlement Fund, you must submit a Proof of Claim form postmarked by August 31, 2007, establishing that you are entitled to recovery. You will be bound by any judgment rendered in the Action whether or not you make a claim.

If you desire to be excluded from the Class, you must file a request for exclusion postmarked by June 8, 2007, in the manner and form explained in the detailed Notice referred to above. All Class Members who have not requested exclusion from the Class will be bound by any judgment entered in the Action pursuant to the Stipulation of Settlement.
