ARBITRATOR NAMED IN PUUHARYHMÄ OYJ SHARES REDEMPTION PROCEDURE
The redemption committee of the Central Chamber of Commerce has named Doctor of
Laws Timo Kaisanlahti as the sole arbitrator in the redemption procedure
regarding the redemption of the minority shares of Puuharyhmä Oyj (Puuharyhmä).
The arbitrator's task is to solve the possible disagreements concerning the
redemption right and redemption price of the Puuharyhmä shares not held by Aspro
Ocio S.A. (Aspro).
On March 6, 2007 Aspro announced that its holding in Puuharyhmä's shares and
voting rights had exceeded 90 per cent and Aspro has thus the right to redeem
the Puuharyhmä shares from the minority shareholders of Puuharyhmä in accordance
with Chapter 18, Section 1 of the Companies Act, and that Aspro shall begin
procedures pursuant to the Finnish Companies Act to redeem shares in Puuharyhmä
held by other shareholders than Aspro. The redemption price offered by Aspro is
EUR 95 per share.
