Proven Growth and Income VCT plc announces that it has today issued a circular to Shareholders convening an Extraordinary General Meeting ("EGM") to seek approval of related party transactions in connection with changes to the performance incentive fees arrangements. The EGM will take place on 4 October 2007 at 10am at 39 Earlham Street, London WC2H 9LT
