Ekspress Grupp reorganises its structure

AS Ekspress Grupp liquidates, by way of merger, its stock holding companies OÜ
ZinZin, OÜ Delfi Holding (formerly named OÜ Interinfo Baltic). 
According to the purchase contract concluded on 2 August 2007, AS Ekspress
Grupp acquired from Belgian and Finnish companies shares in OÜ Interinfo Baltic
(currently named OÜ Delfi Holding), which is the parent company of AS Delfi. To
conclude the transaction, AS Ekspress Grupp used the company founded
specifically for this purpose OÜ ZinZin, to whom AS Ekspress Grupp lent the
amount of mEUR 54.05 necessary for this purchase. 
As OÜ Interinfo Baltic and OÜ ZinZin are only holding companies, they have lost
their importance by now and will be merged with AS Delfi in order to simplify
the structure. As a result of the transaction, AS Delfi will become a direct
subsidiary of AS Ekspress Grupp along with Eesti Ekspressi Kirjastuse AS, AS
Printall, and other companies. AS Delfi, in turn, owns the Latvian and
Lithuanian companies of the same name.
