Talentum is negotiating the purchase of the Fakta Regulatory business of Thomson Förlag AB, based in Sweden, by Talentum's Swedish subsidiary, Talentum Sweden AB. The prospective seller, Thomson Förlag AB, is part of The Thomson Corporation, Group, the Canadian based provider of information solutions to business and professional customers worldwide which has its common shares listed on the New York and Toronto stock exchanges (NYSE: TOC; TSX: TOC). On conclusion of the transaction, Talentum will be the owner of the Fakta Regulatory business of Thomson, which has been transferred to a newly founded company named Fakta Regulatory AB. The business has principally involved the processing of information on employment legislation, personnel development and taxation for the use of professionals online and in printed form, and through training events. Products are delivered by order, for a fee and largely online. The company has 60 employees, and its net sales in 2006 were about SEK 73.7 million (about EUR 8.0 million). The business is profitable. The concluding of the transaction is contingent on the final agreements between the parties and their terms. The concluding of the transaction will be publicized separately. It is expected that this will happen in two weeks time, and the parties will not comment on this matter while negotiations are ongoing.
