December 3, 2007: Oslo, Norway, Petroleum Geo-Services ASA ('PGS' or the 'Company') announced today that the terms for the USD 400 million Convertible Notes due 2012 (the "Convertible Notes") have been fixed as follows:
- the issue size is USD 400 million;
- the initial conversion price has been set at 216.19 NOK per share, which represents a 40% premium over the volume weighted average price of PGS' ordinary shares from launch to pricing;
- the fixed rate of exchange is set at 5.5188 NOK per USD 1.00; and
- the coupon has been set at 2.7% per annum payable semi-annually in arrear; and
- the total number of ordinary shares to be issued if all Convertible Notes are converted at the initial conversion price is 10.2 million ordinary shares (representing 5.67% of PGS' current issued ordinary share capital).
Application will be made for the Convertible Notes to be listed on the Oslo Børs ASA.
The net proceeds of the issue of the Convertible Notes will be used by PGS for general corporate purposes and/or repayment of existing debt.
The Convertible Notes are expected to be issued and settle on or about 20 December 2007.
