NEW YORK, NY--(Marketwire - March 26, 2008) - Prospect Capital Corporation (NASDAQ : PSEC )
("Prospect") today announced the commencement of a public offering of
1,500,000 shares of its common stock, par value $0.001 per share. Prospect
also plans to grant the underwriters a 30-day option to purchase up to an
additional 225,000 shares of its common stock to cover over-allotments, if
any.
Prospect expects to use the net proceeds from this offering to repay
outstanding indebtedness, to fund investments in portfolio companies and
for general corporate purposes. RBC Capital Markets Corporation and
Oppenheimer & Co. Inc. are acting as joint book-running managers for the
offering.

the Securities Act of 1933, as amended, and previously declared effective
