Proceedings at the annual general meeting of Danware A/S held on 30 April 2008.
Earlier today, Danware A/S held its annual general meeting. The Chairman's and
the CEO's reports on the performance and the developments of the Group were
accepted and the Annual Report 2007 was approved.
Three board members elected by the shareholders, Ib Kunøe, Peter Grøndahl and
Henning Hansen were all reelected, and Jan Elbæk was elected as a new member of
the board.
Deloitte Statsautoriseret Revisionsaktieselskab was appointed as the company's
new auditors.
The Board of Directors' authorisation to allow the company to acquire up to 10%
of the company's share capital was extended until the next annual general
meeting.
The Board of Directors had proposed amendments to the articles of association
and the following were adopted:
to cancel article 7(3)(iv), because a shareholder had indicated a preference
that the provision requiring a resolution to discharge the Board of Directors
and the Management Board from liability be deleted
to extend the authorisation to the Board of Directors provided in article 4(1)
of the articles of association for a five-year period to expire on 30 April 2013
general guidelines for incentive pay to members of the Management Board of
Danware A/S.
Following the annual general meeting, the Board of Directors elected Ib Kunøe as
its chairman.
