In accordance with Article 122 Para. 2 of the German Stock Corporation Act,
the shareholder Karl-Heinz Rehkopf, Einbeck, has today submitted a request
to amend the agenda of the 2008 ordinary general shareholder meeting of H&R
WASAG Aktiengesellschaft, Salzbergen, which was announced in the electronic
Federal Gazette (Bundesanzeiger) of 16 May 2008. This amendment regards the
addition of the agenda point entitled 'Conversion of preferential shares
without voting rights into ordinary shares, and corresponding alterations
to the Articles of Incorporation – with simultaneous special resolution of
the ordinary shareholders in accordance with Article 179 Para. 3 of the
German Stock Corporation Act [AktG]'. The intention is to carry out the
conversion by suspending the preferential allocation of profits to the
preferential shares (Article 26 of the Articles of Incorporation) in a
ratio of 1 : 1. The agenda of the separate meeting of the preferential
shareholders shall be amended accordingly. H&R WASAG Aktiengesellschaft
shall immediately publish the supplementary resolution proposals in the
electronic Federal Gazette. The supplements to the agendas proposed by Mr
K.-H. Rehkopf can also be viewed on the company website at
