Munich, May 28, 2008. The Munich-based holding company PlasmaSelect AG is
to acquire 30 % of the shares and 50.1 % of the voting rights in Aquaworx
AG on the basis of a purchase option concluded in December 2007 and a share
purchase and transfer agreement signed today with Sanaworx Holding AG. In
addition, PlasmaSelect has secured itself an option to purchase a further
20.1 % of the company’s shares.

The purchase price totalling € 40 million is to be partly financed through
the issue of 7,250,000 new shares and, depending on performance, may be
reduced by more than 20 %. The seller is furthermore granting a vendor’s
loan, meaning that only approx. 50 % of the purchase price will have to be
paid in cash. A market study by Frost & Sullivan forecasts sales potential
of up to € 700 million for Aquaworx. This potential partly depends on
as-yet-outstanding certifications and the extent to which the company
succeeds in promptly tapping into the relevant markets. Taking these risks
into consideration, one auditing company has determined a subjective value
for the investment that exceeds the purchase price many times over.

The business operations of Aquaworx AG will be consolidated into
PlasmaSelect AG in the future, and will also be managed by it in
operational terms.

This investment offers PlasmaSelect AG the extraordinary prospect of being
able to establish a second foothold in the disproportionately-growing
future market of water treatment, in addition to its existing mainstay
business in the infusions solutions segment.
