28 June 2008 Company announcement no. 11-08 Søndagsavisen a-s has just entered into an agreement with NR1 Adressa-Trykk Orkanger AS on the sale of Norsk Avisdrift AS, including Nordpost Midt Norge AS, to NR1 Adressa-Trykk Orkanger AS. The agreed price for 100% of the shares in Norsk Avisdrift AS is NOK 35 million on a debt free basis. The agreement is subject to approval from the Norwegian Competition Authority (Konkurransetilsynet) and the Norwegian Media Authority (Medietilsynet). The agreement may be terminated in the event that approval from the authorities is not obtained by 30 October 2008. Completion will take place immediately after the aforementioned authorities have approved the agreement. Søndagsavisen a-s will continue to run Norsk Avisdrift AS until completion. Expectations for this year's revenue and profit before tax for Søndagsavisen a-s' continuing businesses remain unchanged and as stated in the Interim management Statement Q1 2008 for Søndagsavisen a-s. Consolidated revenue expectations for 2008 for Søndagsavisen a-s are not affected by the sale of Norsk Avisdrift AS and are unchanged at DKK 1,600-1,650 million. The profit impact from the sale of Norsk Avisdrift AS will be positive by approximately DKK 20 million. The company's expected profit before tax for 2008 is thus DKK 20-40 million.
