Stock Exchange Release no. 28 Made public via OMX on 16 October 2008 FSA finds no reason to require that a mandatory bid be made The company has just received, from Chairman of the Board Steen Bryde, the Danish Financial Supervisory Authority's draft decision on whether Steen Bryde is obliged to make a takeover bid to the remaining shareholders of the company under section 31 (1), para. 5, of the Danish Securities Trading Act. The Danish Financial Supervisory Authority finds that neither Brydegruppen ApS nor Steen Bryde should be required to make such a bid. The Danish Financial Supervisory Authority finds that Steen Bryde, Brydegruppen ApS, acted in concert with Stratos Gruppen ApS and that they collectively held 32.28% of the voting rights in Nordic Tankers A/S at the annual general meeting on 23 April 2008. These voting rights comprise both votes in the form of directly owned shares and any shares controlled via option agreements with other investors. Moreover, the Danish Financial Supervisory Authority finds that due to the composition of the shareholder base Steen Bryde obtained a controlling influence at the general meeting with acceptance from 41.1% of the total number of votes. However, the Danish Financial Supervisory Authority finds no reason to believe that this influence was obtained through the acquisition of more than 1/3 of the company's voting rights by Steen Bryde or persons acting in concert with him. Following a consultation period ending on 5 November 2008, the Danish Financial Supervisory Authority will present its decision to the Danish Securities Council for final decision.
