THE FINNISH COMPETITION AUTHORITY APPROVES THE ACQUISITION OF ROCLA OYJ THROUGH
PUBLIC TENDER OFFER BY MITSUBISHI CATERPILLAR FORKLIFT EUROPE B.V.
The board of directors of Rocla Oyj has today received information that The
Finnish Competition Authority has on 10 November 2008 (Dnro 986/81/08) approved
the acquisition whereby Mitsubishi Caterpillar Forklift Europe B.V., a
subsidiary of Mitsubishi Heavy Industries, Ltd., acquires control of Rocla Oyj
by a public tender offer concerning the shares and share options.
According to the Finnish Competition Authority, the acquisition will not, under
the Act on Competition Restrictions, cause or create such a dominating market
position which would restrain competition considerably in the Finnish markets or
in a substantial part of it.
The completion of the public tender offer is still subject to other necessary
approvals from the other relevant competition authorities and to the other
conditions to completion set out in the tender offer document. The offer period
under the tender offer expires on 12 December 2008.
