Guava A/S has decided to sell Adfair ApS as of today. Adfair has formed part of the Guava Group since 1 February 2008 and operated within the Group's affiliate marketing area. At the end of the earn-out period, end 2008, the company was about to be integrated into the remaining part of the Group, but the Management assumed that the costs of an integration compared to the synergy to be achieved by an integration could not measure up to expectations and moreover, Adfair's strategy and approach to the market were different from those of remaining part of the Group's affiliate area. The buyer of Adfair is Adfair's managing director, Henrik Holm Nielsen. Adfair is sold for DKK 9 million in cash. In connection with the acquisition of Adfair, the Company concluded an earn-out agreement for the financial year 2008. As at 30.06.2008, the Company made provision for the payment of this earn-out agreement in the amount of DKK 16 million. In connection with the sale of Adfair, the Company pays in full settlement of the earn-out DKK 2 million, thereby reducing the provision of DKK 16 million to DKK 2 million, and the Company's goodwill is reduced by DKK 14 million.
