SCHWARZ PHARMA AG:
Squeeze-out cash compensation determined at EUR 111,44 per share
UCB SP GmbH has informed the SCHWARZ PHARMA AG Executive Board today by
specifying its transfer request letter as of February 6, 2009 that it has
determined the cash compensation to be paid for the transfer of the shares
held by the minority shareholders of SCHWARZ PHARMA AG to the majority
shareholder UCB SP GmbH according to § 327a German stock corporation act
(squeeze-out) at EUR 111,44 per share.
The squeeze-out requires the approval of the SCHWARZ PHARMA AG shareholder
meeting which is scheduled for July 8, 2009.
