IDS Scheer AG: Planned merger with Software AG 

On 3 February 2010, Software AG and SAG Beteiligungs GmbH informed IDS
Scheer AG that they plan to merge, firstly, SAG Beteiligungs GmbH and,
secondly, IDS Scheer AG into Software AG in accordance with the provisions
of the Transformation Act (UmwG). According to the relevant statutory
provisions, a merger of IDS Scheer AG into Software AG would mean that the
outstanding shareholders of IDS Scheer AG would have to be granted shares
in Software AG in return for their shares in IDS Scheer AG on the basis of
a ratio yet to be determined.
Furthermore, Software AG and SAG Beteiligungs GmbH have invited the
executive board of IDS Scheer AG to discuss all measures required in this
respect. The executive board of IDS Scheer AG intends to accept this
invitation in due course.
The planned merger would be subject to the approval of IDS Scheer AG's
general meeting of shareholders. Software AG and SAG Beteiligungs GmbH have
proposed that for this purpose a general meeting of IDS Scheer AG's
shareholders could take place in mid-2010. The executive board of IDS
Scheer AG will also consider this proposal.
