UFC announces date and agenda for the General Meeting of Shareholders (GMS)
La Waalre, Eindhoven, June 09, 2010 -The Dutch based company - UFC Holding
N.V. (UFC) hereby announces that a General Meeting of Shareholders (GMS)
will take place on June 25, 2010 at 2:00 pm(CET) at the meeting room of
Nauta Dutilh, Address: Strawinskylaan 1999, 1077 XV Amsterdam, the
Netherlands. UFC specializes in timberland acquisition and management,
forestry financial products and agro-business in China.
The Agenda of the GMS includes:
1. opening
2. To adopt UFC Holding N.V.'s annual financial accounts of 2009
(resolution)
3. To resolve to issue new shares valued as EUR 4,581,500 as below :
(resolution)
a. To resolve to issue 22,397,196 ordinary shares in UFC Holding N.V. for
an issue price of EUR 0,140445 per share to Beijing Shirongda Investment
Ltd.
b. To resolve to issue 7,159,710 ordinary shares in UFC Holding N.V. for an
issue price of EUR 0,140445 per share to Forestry Link International Ltd.
c. To resolve to issue 3,064,405 ordinary shares in UFC Holding N.V. for an
issue price of EUR 0,140445 per share to Forestry Investment Ltd.
4. To exclude the pre-emption rights of the shareholders (resolution)
5. To grant discharge to the members of the Management Board for 2009
(resolution)
6. To grant discharge to the member of the Supervisory Board for 2009
(resolution)
7. Any other business.
The annunal financial accounts of 2009 are available at the offices of UFC
Holding NV and will be send to any interested party at its request free of
charge via info@ufc-holding.com.
