            DEALING BY PERSON DISCHARGING MANAGERIAL RESPONSIBILITY
                (Disclosure made in accordance with DTR 3.1.2R)


The  company  has  been  notified  that  Graham  Levinsohn, a person discharging
managerial responsibility within G4S plc, sold 11,813 ordinary shares of G4S plc
today.   9,813 of the  shares were sold  at £2.5413 per  share and the remainder
were sold at £2.54237 per share.
