                       Acquisition of Skycom, South Africa

G4S,  the world's leading international  security solutions group, announces its
acquisition  of Skycom (Pty)  Ltd in South  Africa, through its local subsidiary
G4S  Secure Solutions (SA)  (Pty) Ltd, having  acquired 100% of the issued share
capital.

Skycom, a market leader in the African security systems market, has gross assets
of  £3.3 million and was  acquired from its management  owners AD White (CEO), G
Hogan  (Operations Director), R Brooke Smith (Sales Director) and A Hauptfleisch
(Development Director). The acquisition was completed on 1 September 2010.

The  acquisition will enhance the technical  capabilities of G4S in South Africa
and  across  the  continent.  Skycom  specialises  in the installation of access
control  hardware and  software and  is a  market leader  in time and attendance
solutions.

Skycom specialises in integrated and turnkey solutions for large and distributed
workforces, in particular:
  * Mining
  * Heavy Industry
  * Ports and Harbours
  * Other workforce intensive industries


in the fields of:
  * Time and access management solutions
  * Identification management
  * System customisations and adaptations to client requirements
  * RFID
  * Safety access management
  * ERP, Payroll and HR system integration


Skycom counts most major South African mining houses and oil companies among its
customers, and operates in several African countries.
