Group GDG Environment Announces the Result of the Vote Passed for the Approval of the Compromise Presented to its Shareholders


TROIS-RIVIÈRES, QUÉBEC--(Marketwire - Jan. 21, 2011) - Group GDG Environment Ltd (« GDG » or the « Company ») (TSX VENTURE:GDG), announces the result of the vote held to approve of the compromise presented to its shareholders. Firstly, the shareholders approved in a proportion of 99.9 % the by-law concerning the compromise to be approved, this vote required a three quarters (3/4) of the shares held by the shareholders present at the meeting, in person or by proxy. Secondly, the vote concerning the approval of the minority shareholders, concerning the by-law relating to the compromise and the voluntary delisting of the common shares of the Company from the TSX Venture Exchange. More than 80 % of the minority shareholders participated to the vote and approved the proposal in a proportion of 99.5%.

As a consequence, GDG filed, today, a motion by virtue of Section 49 of Companies Act seeking the approval of the compromise by the Superior Court in Trois-Rivières. The motion will be heard on January 25, 2011 at 9:00 am at the Trois-Rivières Court House, located at 850, rue Harts in Trois-Rivières, province of Quebec.
