NorthWest Healthcare Properties Real Estate Investment Trust Announces Public Offering of $75.2 Million of Trust Units


TORONTO, ONTARIO--(Marketwire - Feb. 22, 2011) -

NorthWest Healthcare Properties Real Estate Investment Trust (the "REIT") (TSX:NWH.UN) announced today that it has reached an agreement with a syndicate of underwriters led by RBC Capital Markets to issue to the public, subject to regulatory approval, on a bought deal basis, 6,400,000 trust units at a price of $11.75 per unit representing gross proceeds of $75,200,000. The REIT has granted the underwriters an over-allotment option exercisable in whole or in part at any time up to 30 days after closing, to purchase up to an additional 960,000 units at the same offering price.

The net proceeds from this offering (after deducting the Underwriters' fee and estimated offering expenses) will be used primarily to fund the repayment of the bridge loan facility, which loan was incurred by the REIT in connection with the funding of prior acquisitions. Mortgage financings anticipated in the second quarter of 2011 and thereon will be used to fund future acquisitions.

The REIT will, by February 23, 2011, file with the securities commissions and other similar regulatory authorities in each of the provinces and territories of Canada a preliminary short form prospectus relating to the issuance of the units. Closing of the offering is expected to take place on or about March 9, 2011.

Consistent with its past practice and in the normal course, the REIT is currently pursuing an active acquisition pipeline, with multiple properties having an aggregate value well in excess of $100 million, in varying stages of review, negotiation and due diligence. However, there can be no assurance that any of these discussions and / or potential acquisitions in the acquisition pipeline, will result in a definitive agreement and, if they do, what the terms or timing of any acquisition would be.
