Focus Metals Inc. Announces $15 Million Bought Deal Private Placement

OTTAWA, ONTARIO--(Marketwire - April 15, 2011) -

Focus Metals Inc. (TSX VENTURE:FMS) (the "Company") is pleased to announce that it has entered into an agreement with a syndicate of underwriters led by Cormark Securities Inc. and including Byron Capital Markets Ltd and Desjardins Securities Inc. (the "Underwriters") pursuant to which the Underwriters have agreed to purchase 15,000,000 units ("Units") of the Company on a bought deal private placement basis at a price of $1.00 per Unit. Each Unit shall consist of one common share of the Company and one-half of one common share purchase warrant. Each whole warrant shall be exercisable at any time for one common share at a price of $1.25 per common share for a period of two years following the closing.

The Underwriters shall also have the option, exercisable at any time up to the closing of the offering, to purchase up to an additional 5,000,000 Units at the issue price for additional gross proceeds of up to $5 million.

The offering is scheduled to close on or about May 12, 2011 and is subject to certain conditions including, but not limited to, the receipt of all necessary approvals including the approval of the TSX Venture Exchange.

The net proceeds of the offering will be used for drilling, completion of the NI 43-101 compliant resource estimate and scoping study and procurement of long lead items at the Lac Knife Graphite Project, potential acquisitions, working capital and general corporate purposes.
