Rottneros AGM 2011

<p>
	Rottneros AB&#8217;s AGM took place on Tuesday, 19 April 2011 at 10.00 at the
hotel Selma Spa, Sundbergsv&#228;gen 3 in Sunne, Sweden.</p> 
<p>
	<strong>Adoption of balance sheet and income statement</strong></p>
<p>
	The AGM confirmed the adopted balance sheets and income statement for the
parent company and the Group for the 2010 operating year.</p>

<p>
	<strong>Dividend</strong></p>
<p>
	The AGM approved the proposed dividends to shareholders of SEK 0.20&#160;per
share. Tuesday, 26&#160;April 2011 was fixed as the record day for dividends.
In order to be entitled to a dividend the shareholder must have held the share
on the date of the AGM, Tuesday, 19 April 2011.</p>

	<strong>Board</strong></p>
<p>
	The AGM granted members of the Board and the President a discharge from
liability for the 2010 operating year. Ordinary board members Roger
Asserst&#229;hl, Kjell Ormegard, Bengt Unander-Scharin and Ingrid Westin
Wallinder were re-elected.</p>

	The AGM re-elected Kjell Ormegard as Chair of the Board.</p>

<p>
	<strong>Remuneration for members of the Board</strong></p>
<p>
	The AGM decided in accordance with the Nominating Committee&#8217;s
proposal.</p>

<p>
	<strong>Nominating Committee</strong></p>
<p>
	The AGM also approved the proposed procedure for appointing members of the
Nominating Committee and the mandate of the Nominating Committee.</p>

	<strong>Auditor</strong></p>
<p>
	The AGM decided to appoint &#214;hrlings PricewaterhouseCoopers AB as auditor
for one year.</p>

	<strong>Guidelines for remuneration</strong></p>
<p>
	In accordance with the proposal of the Board, the AGM approved guidelines for
remuneration and other conditions of employment for senior executives.</p>
