STAMFORD, CONNECTICUT--(Marketwire - May 24, 2011) - Mullaney Management & Trust ("MMT") wishes to advise that pursuant to the management of its clients' investment accounts, it now has control or direction over 8,445,000 common shares of Rockcliff Resources Inc. (TSX VENTURE:RCR) (Tier 1) ("Rockcliff"), representing 11.06% of outstanding capital of Rockcliff and 1,305,000 warrants ("Warrants") of Rockcliff. If MMT on behalf of its clients or if its clients were to exercise all of the Warrants, it would have control or direction over 9,750,000 common shares directly and indirectly out of a partially diluted capital of 77,643,269 common shares (after giving effect to the exercise of the 1,305,000 Warrants) representing 12.56% of outstanding capital of Rockcliff. MMT has advised that the common shares were acquired as part of MMT's management of clients' investment accounts and it has no present intention to either increase or decrease its holdings in Rockcliff. Notwithstanding the foregoing, MMT has advised that it may increase or decrease its beneficial ownership, control or direction over common shares of Rockcliff through market transactions, private agreements, exercise of warrants, other treasury issuances or otherwise.
