Avion Gold Announces $50 Million Bought Deal

Avion Gold Corporation (TSX:AVR) (OTCQX:AVGCF) ("Avion" or the "Company") is pleased to announced that it has entered into an agreement with a syndicate of underwriters led by National Bank Financial Inc. (the "Underwriters") under which the Underwriters have agreed to buy from Avion, on a bought deal basis, 24,200,000 common shares at an issue price of $ 2.07 per common share for gross proceeds of $50,094,000 (the "Offering").

The Underwriters have been granted an over-allotment option, exercisable at any time prior to 30 days after the closing date of the Offering, to acquire up to an additional 3,630,000 common shares of the Company at the issue price applicable to the offering. The Company must to file a short form prospectus with the securities regulatory authorities to qualify the common shares for distribution.

The net proceeds from the Offering will be used for debt repayment, acceleration of Avion's exploration and development program, and general corporate purposes. Closing of the Offering is expected to occur on or about August 31, 2011.

The Offering is being made in all provinces of Canada other than Quebec, and is subject to the approval of regulatory authorities. The securities offered have not been registered under the U.S. Securities Act of 1933, as amended, and may not be offered or sold in the United States absent registration or an applicable exemption from the registration requirements. The Company is developing an underground mine at the Tabakoto deposit, and is preparing to mine underground at the Ségala deposit.
