Nomination Committee for the Annual General Meeting 2012
PA Resources AB is pleased to announce the composition of the Nomination
Committee for the 2012 Annual General meeting (AGM) in accordance with
the resolution at the AGM in 2011.
PA Resources AB's Nomination Committee for the AGM 2012 consists of the
following members:
· Hans Kristian Rød, Chairman of the Board, appointed by the AGM 2011
· Jesper Bonnivier, representing Länsförsäkringar Fondförvaltning AB
· Bengt Stillström, representing AB Traction
· Carina Lundberg Markow, representing Folksam
PA Resources AB's guidelines for appointment of the Nomination Committee
were adopted at the AGM on 17th of May 2011 and are based on the
principles of the Swedish Code of Corporate Governance. The Nomination
Committee shall consist of four members. Of these, one shall be the
Chairman of the Board and the other three shall be appointed by the
three largest shareholders in the company as per 30 September 2011.
Should a shareholder not appoint a representative, the question will be
passed on to the next shareholder in size, etc. One of the three owner
representatives will be appointed Chairman of the Nomination Committee.
The Nomination Committee shall present a proposal for election of the
Board of Directors as well as related questions for adoption at the
Annual General Meeting and complete the tasks and consider the
independence of the Directors as set out in the Swedish Code of
Corporate Governance.
The Annual General Meeting will be held in Stockholm on May 22, 2012.
