The Election Committee’s proposal regarding the board of directors etc

 

The Election Committee of MQ Holding AB proposes to the Annual General Meeting
2012 that it re-elects Erik Olsson, also proposed to be re-elected as chairman
of the board, Göran Barsby, Thomas Nyberg and Eva Redhe Ridderstad (Jonas
Lagerstedt and Christel Kinning have declined re-election). Further, the
Election Committee proposes election of Bengt Jaller and Christina Ståhl.

Bengt Jaller has owned and operated MQ-stores in Stockholm City during the
period between 1986-2006. As vice chairman of the board of MQ between 1998-2006,
he was one of the leading figures behind MQ's development through clarifying the
business concept of MQ that among other things led to today's share listing.
His personal main focus is assortment structure, purchasing issues and
logistics.

Christina Ståhl is CEO of Mio AB since 2007. Further, Christina has board
commitments in Kjell & Co Elektronik AB and Nacka Stormarknad AB (ICA Maxi
Nacka). Between 1997-2007, Christina worked within ICA AB, inter alia as
marketing director of RIMI Svenska AB, as responsible for managing ICA's focus
on health & beauty and as CEO of Etos AB.

The remuneration to the members of the board of directors is proposed to be
SEK 1,400,000, out of which SEK 400,000 shall be allocated to the chairman of
the board of directors and SEK 200,000 to each of the other members of the board
of directors. Further, remuneration for committee work is proposed to be paid
with an amount of SEK 15,000 for each day of meeting.

The Election Committee proposes that the Annual General Meeting resolves to
appoint a new election committee in preparation for the Annual General Meeting
to be held in 2013, to a large extent in the same way as for the Annual General
Meeting of 2012. This entails that the chairman of the board of directors shall
contact the two largest registered or otherwise known shareholders as per 1
April, 2012, and invite them to each appoint one member of the election
committee. If any shareholder waives its right to appoint a member, the largest
registered or otherwise known shareholder that not yet has appointed a member of
the election committee shall be invited, and so on. The election committee shall
consist of these two members together with the chairman of the board of
directors. The election committee shall appoint a chairman amongst its members.

The Election Committee of MQ Holding AB consists of Malin Säfweräng,
representing CapMan and chairman of the Election Committee, Henrik Strömbom,
representing Jaller Klädcenter AB, as well as Erik Olsson, chairman of the board
of directors.
