ANA plan to change Corporate Structure

Proposed change in Group Corporate Structure

TOKYO February 17, 2012 - At a meeting of its Board of Directors held
today, All Nippon Airways Co., Ltd. (headquarter: Tokyo; President &
CEO: Shinichiro Ito; hereinafter "ANA") voted to begin consideration of
a plan to move to a holding company structure, provisionally as of
April 1, 2013.

This move to a holding company structure is planned to take place
conditionally upon the approval of the Ordinary General Meeting of
Shareholders scheduled to be held on June 19, 2012, and upon obtaining
any necessary permits and approvals from the relevant authorities.
