CHARLOTTE, N.C., Feb. 27, 2012 (GLOBE NEWSWIRE) -- Swisher Hygiene Inc. ("Swisher Hygiene") (Nasdaq:SWSH) (TSX:SWI), a leading provider of essential hygiene and sanitation products and services, today announced that it has acquired the assets and business of Savoy Linen Services, Inc. ("Savoy"), a Connecticut-based linen services company.
Started in 1924, Savoy provides linen rental and laundry services primarily to foodservice customers in the Southern New England and greater metro New York City markets. Concurrent with the acquisition, the owner of Savoy, Paul Vazzano, will join Swisher Hygiene and contribute to the continued growth of its linen services business.
"The acquisition of Savoy is a continuation of our efforts to build upon our existing presence in the linen and dust control markets and expand throughout North America," said Steven R. Berrard, Chief Executive Officer of Swisher Hygiene. "We will be very deliberate in making value-added acquisitions and building additional facilities in order to further expand our linen production capabilities, properly leverage our customer base and create additional cross-selling opportunities for our full-service platform. Through today's acquisition of Savoy, Swisher Hygiene expands its capabilities to serve the foodservice market in the Northeast and gains the knowledge and expertise of a team who has helped Savoy continue their tradition for over 80 years. We are very pleased to add Savoy's highly automated and efficient production facility to our infrastructure, as well as being able to cross-sell a complete range of linen services to our existing customers in the Northeast."
"As we have accomplished our goal of building out a chemical footprint that provides nationwide service coverage, we now are able to shift the focus of our acquisition efforts to our other product offerings," added Mr. Berrard. "While we will continue to pursue tuck-in chemical transactions that provide significant added value to our current structure, our acquisition focus will be more concentrated in expanding our linen and other complementary offerings to further serve our existing and potential new customers."
Total consideration paid by Swisher Hygiene in connection with the Savoy acquisition includes cash and the issuance of a convertible promissory note which may be converted into a maximum of 171,428 shares of Swisher Hygiene common stock subject to certain restrictions, including acceptance by the Toronto Stock Exchange.
