The capital increase resolved by Softing AG on March 05, 2012, has been
fully subscribed. The Executive Board and the Supervisory Board resolved on
March 05, 2012, to increase the Company's share capital of EUR 5,637,198.00
by up to EUR 805,314 to up to EUR 6,442,512 in return for cash
contributions. The statutory subscription right was granted to the
shareholders such that the new shares were subscribed and purchased
exclusively by Baader Bank AG, Unterschleißheim, Germany, with the proviso
that it would offer them to the shareholders at a ratio of 7:1 for a
purchase price of EUR 4.40 per share. The interest of shareholders
significantly exceeded the issue volume, which is why not all subscription
requests could be granted.

After the execution of the capital increase has been recorded in the
Company's Commercial Register, the new shares shall be listed immediately
on the Regulated Market of the Frankfurt/Main Stock Exchange.

The Company generates gross issue proceeds of approximately EUR 3.5 million
from the execution of the capital increase, which it intends to use for
expanding its cooperative business.
