Allotment and Issue of New Ordinary Shares and Transaction in Own Shares

Allotment
The Board of Foresight 3 VCT plc is pleased to announce that in accordance with the terms of an Open Offer dated 23 December 2012 (the "Offer") 8,114,880 Ordinary Shares under the Open Offer were allotted and issued  on 5 April 2012 at 87.26 pence per Ordinary Share. Of this amount 7,327,814 shares were as part of the open offer (and tender offer) and 787,066 shares were a further issue of new shares.
Application has been made for the admission of the 8,114,880 Ordinary Shares in the Company to the Official List of the UK Listing Authority and to trading on London Stock Exchange plc's market for listed securities.

Transaction in Own Shares

The Board of Foresight VCT plc further announces that on 5 April 2011 the Company purchased for cancellation 7,555,073 Ordinary Shares of 1p at a price of 84.64 pence per share.
 
Following this purchase there are now 50,870,173 Ordinary Shares in issue.
