Under the terms of the transaction, Deltek shareholders will receive $13.00 in cash for each Deltek share they own. The transaction has a total approximate value of $1.1 billion. The claims concern whether the Deltek Board of Directors breached their fiduciary duties to minority stockholders by entering into this transaction.
