Capital increase registered for SpareBank 1 SMN


Not for release, publication or distribution in the United States, Canada, Australia or Japan.

The capital increase in connection with the private placement in SpareBank 1 SMN, which was announced in a press release 14 September 2012, has now been registered in the Norwegian Register of Business Enterprises (Foretaksregisteret), and has subsequently been carried out.

SpareBank 1 SMN's new equity certificate capital is NOK 2,596,728,860, consisting of 129,836,443 equity certificates, each with a nominal value of NOK 20.

Allocated equity certificates will be delivered to each subscriber's VPS account on or about 24 September 2012 provided that the outstanding amount for each subscriber has been settled.  The new equity certificates will be tradable on the Oslo Stock Exchange from 25 September 2012.

SpareBank 1 Markets acted as Global Coordinator and Bookrunner, and SpareBank 1 SMN Markets and Swedbank First Securities acted as Joint Lead Managers for the private placement.
